These Legal Terms govern your access to and use of mablesoftware.com and mable.cloud. By accessing the Services you agree to be bound by these Legal Terms. 1. Our Services
The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation. Specific Service Level Agreements (SLAs) regarding uptime, support response times, and other performance metrics may be provided separately or within your specific service agreement with MABLE Software.
2. Intellectual Property Rights
We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks"). Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services and to download or print a copy of any portion of the Content solely for your internal business purpose. No part of the Services and no Content or Marks may be copied, reproduced, republished, uploaded, posted, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our express prior written permission. Requests should be addressed to support@mablesoftware.com. By posting any Contributions (questions, comments, suggestions, feedback, or other submissions), you grant us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, worldwide right and license to use, copy, reproduce, distribute, publish, and exploit your Contributions for any purpose. You are solely responsible for your Contributions and warrant that they do not infringe any third party's rights and are not illegal, harassing, obscene, or otherwise objectionable.
3. User Representations
By using the Services, you represent and warrant that all registration information you submit will be true, accurate, current, and complete; you will maintain the accuracy of such information; you have the legal capacity to comply with these Legal Terms; you are not a minor in your jurisdiction; you will not access the Services through automated or non-human means; you will not use the Services for any illegal or unauthorized purpose; and your use will not violate any applicable law or regulation. If you provide untrue, inaccurate, or incomplete information, we may suspend or terminate your account.
4. User Registration
You may be required to register to use the Services. You agree to keep your password confidential and are responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine it is inappropriate, obscene, or otherwise objectionable.
5. Purchases and Payment
You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services, and to promptly update that information. Sales tax will be added as required, and prices may change at any time. Subscriptions may be offered on a monthly or annual basis, with specific billing terms provided at the time of purchase. We reserve the right to correct pricing errors, refuse or limit orders, and to limit or prohibit orders that appear to be placed by dealers, resellers, or distributors.
6. Prohibited Activities
You may not access or use the Services for any purpose other than that for which we make them available. As a user, you agree not to: systematically retrieve data to create a collection or database without permission; trick, defraud, or mislead us or other users; circumvent or interfere with security-related features; disparage or harm us or the Services; use information from the Services to harass or harm others; misuse our support services or submit false reports; violate applicable laws; engage in unauthorized framing or linking; upload viruses or spam; use automated systems, bots, or scrapers; delete copyright notices; impersonate another user; use tracking mechanisms like web bugs or spyware; disrupt the Services or connected networks; harass our employees or agents; bypass access restrictions; copy or reverse engineer our software; use a buying or purchasing agent; collect usernames or emails for unsolicited messages; use the Services for a competing product or revenue-generating enterprise; advertise or sell goods and services through the Services; or sell or transfer your profile.
7. User Generated Contributions
The Services may invite you to chat, contribute to, or participate in blogs, forums, and other functionality, creating "Contributions" that may be viewable by other users and third parties. By making Contributions available, you represent and warrant that they do not infringe any third party's rights, that you own or have the necessary rights and licenses to submit them, that they are not false, unlawful, obscene, harassing, or otherwise objectionable, and that they do not violate any applicable law, regulation, or the privacy or publicity rights of any third party. Violations may result in termination or suspension of your rights to use the Services.
8. Beta Features and Previews
From time to time, MABLE Software may offer beta features or preview releases of new Services. These features are provided "as is" and may not be fully functional or reliable. We may discontinue or modify beta features at any time without notice, and your use of them is at your own risk. Feedback provided regarding beta features may be used by MABLE Software without any obligation to compensate you.
9. Contribution License
By posting Contributions, you grant us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, worldwide right and license to host, use, copy, reproduce, disclose, sell, publish, broadcast, archive, store, publicly perform and display, reformat, translate, and distribute such Contributions for any purpose, and to prepare derivative works. You retain full ownership of your Contributions and are solely responsible for them. We may edit, re-categorize, or delete any Contributions at any time and for any reason, without notice, though we have no obligation to monitor them.
10. Guidelines for Reviews
We may provide areas on the Services to leave reviews or ratings. Reviews must be based on firsthand experience and must not contain profanity, discriminatory references, references to illegal activity, false or misleading statements, or organized campaigns encouraging others to post reviews. We may accept, reject, or remove reviews in our sole discretion and are not liable for any review or related claims. By posting a review you grant us a perpetual, non-exclusive, worldwide, royalty-free license to use it.
11. Third-Party Websites and Content
The Services may contain links to third-party websites and content that are not investigated, monitored, or checked for accuracy by us. We are not responsible for any third-party websites or content, and inclusion of a link does not imply our endorsement. If you access third-party websites or content, you do so at your own risk and these Legal Terms no longer govern. We are not responsible for any purchases made through third-party websites.
12. Services Management
We reserve the right, but not the obligation, to monitor the Services for violations of these Legal Terms, take legal action against violators, refuse or restrict access to any Contributions, remove content that is excessive in size or burdensome to our systems, and otherwise manage the Services to protect our rights and property and facilitate their proper functioning.
13. Privacy Policy
We care about data privacy and security. Please review our Privacy Policy at mablesoftware.com/privacy-policy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms. The Services are hosted in the United States; by continuing to use the Services from another region, you consent to have your data transferred to and processed in the United States. 14. Copyright Infringements
We respect the intellectual property rights of others. If you believe material available on or through the Services infringes a copyright you own or control, please notify us using the contact information in Section 27. A copy of your notification will be sent to the person who posted the material. You may be held liable for damages if you make material misrepresentations in a notification, so consider contacting an attorney first if you are unsure.
15. Term and Termination
These Legal Terms remain in full force while you use the Services. We reserve the right, in our sole discretion and without notice or liability, to deny access to and use of the Services to any person for any reason, including breach of these Legal Terms, and to terminate your account and delete any content or information you posted at any time. If your account is terminated, you are prohibited from registering a new account under your name, a fake name, or a third party's name.
16. Modifications and Interruptions
We reserve the right to change, modify, or remove the contents of the Services at any time without notice, and we have no obligation to update information on the Services. We cannot guarantee the Services will be available at all times and may experience interruptions for maintenance or other reasons. We have no liability for any loss, damage, or inconvenience caused by downtime or discontinuance of the Services.
17. Governing Law
These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles.
18. Dispute Resolution
Any legal action brought by either party shall be commenced in the state and federal courts located in Arlington County, Virginia, and the parties consent to and waive all defenses of lack of personal jurisdiction and forum non conveniens. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) are excluded. No claim related to the Services may be brought more than one year after the cause of action arose.
19. Corrections
There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, and availability. We reserve the right to correct any errors and to change or update information on the Services at any time without prior notice.
20. Disclaimer
The Services are provided on an as-is and as-available basis. Your use of the Services is at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranties about the accuracy or completeness of the Services' content and assume no liability for errors, personal injury or property damage, unauthorized access to our servers, interruptions in transmission, bugs or viruses transmitted through the Services, or any content posted or made available via the Services.
21. Limitations of Liability
In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, or loss of data, arising from your use of the Services, even if we have been advised of the possibility of such damages.
22. Indemnification
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, officers, agents, partners, and employees, from any loss, damage, liability, claim, or demand made by any third party due to or arising out of your Contributions, use of the Services, breach of these Legal Terms, or violation of the rights of a third party. We reserve the right, at your expense, to assume the exclusive defense of any matter for which you are required to indemnify us.
23. User Data
We will maintain certain data that you transmit to the Services for managing performance, as well as data relating to your use of the Services. Although we perform regular backups, you are solely responsible for all data you transmit, and you waive any right of action against us for loss or corruption of such data.
24. Electronic Communications, Transactions, and Signatures
Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing. You agree to the use of electronic signatures, contracts, orders, and other records.
25. California Users and Residents

26. Miscellaneous
These Legal Terms and any policies posted by us constitute the entire agreement between you and us. Our failure to enforce any right or provision shall not operate as a waiver. We may assign any of our rights and obligations to others at any time. If any provision is determined to be unlawful or unenforceable, it is deemed severable and does not affect the remaining provisions. There is no joint venture, partnership, employment, or agency relationship created between you and us as a result of these Legal Terms.
